Confidential Reporting Alleged Code Violations

I. Policy

Anyone may report violations of the Code of Business Conduct and Ethics Procedures to management through their supervisor, the Compliance Committee, the "open door" policy under which you may arrange to meet with any management personnel or the Legal Department in person, by mail, email or telephone. If you wish to remain anonymous you may report a violation by calling or emailing My Safe Workplace.com™ as noted below, and they will anonymously forward the message to the Chairman of the Compliance Committee of the Company and the Chairman of the Audit Committee of the Board of Directors. My Safe Workplace is an independent third party service provider staffed with trained professionals to take your information and forward it to the Compliance Committee. The Company encourages employees to discuss issues with their supervisor or to use the open door policy.

If you use My Safe Workplace:

1) You may refrain from identifying yourself (although, in the absence of such identification, the Company may have insufficient information to investigate the allegations).

2) No retribution will be imposed on you for making the report unless you are one of the violators or intentionally provide false information.

3) Your confidentiality will be maintained unless disclosure is required or advisable in connection with any governmental investigation or report or the Company's legal defense of the matter.

My Safe Workplace is not intended to be used for personal grievances. All matters that do not appear to constitute violations of the Code will be referred to the appropriate department; for example, reports concerning personnel grievances will be sent to the Human Resources Department.
